NOTICE OF PUBLIC HEARING

Notice is hereby given pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), that on Tuesday, April 2, 2019, a public hearing will be held in the conference room located on the second floor at 322 70th Street SE, Charleston, West Virginia, commencing at 12:00 Noon, local time, with respect to the proposed issuance by the West Virginia Hospital Finance Authority (the “Issuer”) of the qualified 501(c)(3) bonds described below.

The Issuer intends to issue its Hospital Improvement and Refunding Revenue Bonds (Charleston Area Medical Center, Inc.), in one or more series, in an aggregate principal amount not to exceed $300,000,000 (collectively, the “Bonds”), the proceeds of which will be loaned to Charleston Area Medical Center, Inc., a West Virginia nonprofit corporation (“CAMC”), as group agent (the “Group Agent”) on behalf of itself and CAMC Foundation, Inc., a West Virginia nonprofit corporation (the “Foundation” and, together with CAMC, the “Group”), and used by the Group, in part, together with other available funds, to pay, finance, refinance or reimburse payment by CAMC of the costs of constructing, expanding, installing, renovating, equipping and/or otherwise improving the “hospital facilities” (as defined in Chapter 16, Article 29A of the Code of West Virginia of 1931, as amended) of CAMC (the “Hospital Facilities”).The Hospital Facilities are owned and operated by CAMC in an integrated operation and are in each of the following locations:

● CAMC Memorial Hospital campus located at 3200 MacCorkle Avenue, SE, Charleston, Kanawha County, West Virginia;

● CAMC General Hospital campus located at 501 Morris Street, Charleston, Kanawha County, West Virginia;

● CAMC Women and Children’s Hospital campus located at 800 Pennsylvania Avenue, Charleston, Kanawha County, West Virginia;

● CAMC ambulatory health care facilities located at 3257 Teays Valley Road, Hurricane, West Virginia and 3948 Teays Valley Road in Hurricane, Putnam County, West Virginia; and

● CAMC Teays Valley Hospital campus located at 1400 Hospital Drive, Hurricane, Putnam County, West Virginia.

Proceeds of the Bonds will also be used to refund on a current basis and possibly extend the average maturity date of (A) the Issuer’s Hospital Revenue Refunding and Improvement Bonds (Charleston Area Medical Center, Inc.) 2009 Series A issued in the original aggregate principal amount of $179,925,000, (B) the Issuer’s Variable Rate Revenue Bonds (Charleston Area Medical Center, Inc.) 2008 Series A issued in the original aggregate principal amount of $127,355,000, and (C) the Issuer’s outstandingHospital Revenue Bond (CAMC Teays Valley Hospital Project) 2008 Series A issued in the original aggregate principal amount of $26,000,000.

The Bonds will be special obligations of the Issuer and will not constitute a debt or a pledge of the faith and credit of the Issuer or a pledge of the faith and credit or taxing power of the State of West Virginia or any political subdivision thereof.Persons wishing to express their views on the proposed issuance of the Bonds may appear at the hearing or may submit their views in writing regarding the proposed issuance of the Bonds.Any written submissions should be sent to the West Virginia Hospital Finance Authority, 322 70th Street SE, Charleston, West Virginia 25304, Attention:Chairman, and clearly marked “Re: West Virginia Hospital Finance Authority’s Hospital Improvement and Refunding Revenue Bonds (Charleston Area Medical Center, Inc.).”Written submissions should be mailed in sufficient time to be received before April 2, 2019.
